PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE PLACING A BID OR MAKING A PURCHASE. BY REGISTERING FOR AN ACCOUNT, PLACING A BID, OR COMPLETING A PURCHASE ON COMPUCYCLE.COM/SHOP (THE "PLATFORM"), YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS, INCLUDING THE PRIVACY POLICY AND WARRANTY POLICY INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE PLATFORM. 

1. DEFINITIONS 

"Agreement" means these Terms and Conditions of Sale, together with the Privacy Policy, Warranty Policy, and any supplemental terms or amendments published on the Platform, which collectively constitute the entire agreement between the Purchaser and CompuCycle. 

"CompuCycle" means CompuCycle, Inc., a Texas corporation with its principal place of business at 8019 Kempwood Drive, Houston, Texas 77055. 

"Lot" means any individual item, group of items, or bundle of goods listed for sale on the Platform. 

"Platform" means the CompuCycle online auction and shop accessible at compucycle.com/shop and any associated subdomains, email-based bidding systems, or successor platforms. 

"Purchaser" or "Buyer" means any individual, corporation, partnership, limited liability company, or other legal entity that registers for an account, places a bid, or completes a purchase on the Platform. 

"Winning Bid" means the highest qualifying bid submitted for a Lot at the close of the applicable bidding period, as determined by CompuCycle in its sole discretion. 

2. GENERAL AGREEMENT AND ACCEPTANCE 

2.1. By accessing the Platform, creating an account, placing a bid, or completing a purchase, the Purchaser agrees to be bound by this Agreement. This Agreement, together with the Privacy Policy and Warranty Policy (each as may be amended from time to time), constitutes the entire agreement between the Purchaser and CompuCycle with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

2.2. CompuCycle reserves the right to modify these Terms and Conditions at any time by posting the revised terms on the Platform. The "Last Revised" date at the top of this document indicates the most recent amendment. Continued use of the Platform following any modification constitutes acceptance of the revised terms. 

2.3. The Purchaser represents and warrants that: (a) the Purchaser is at least eighteen (18) years of age or the age of legal majority in the Purchaser’s jurisdiction, whichever is greater; (b) the Purchaser has the legal capacity and authority to enter into this Agreement; and (c) if acting on behalf of a business entity, the Purchaser is duly authorized to bind that entity to this Agreement. 

3. REGISTRATION AND ACCOUNT OBLIGATIONS 

3.1. To participate in auctions or make purchases, the Purchaser must register for an account on the Platform and provide accurate, current, and complete information as requested during the registration process. 

3.2. The Purchaser is solely responsible for maintaining the confidentiality of account credentials and for all activity that occurs under the Purchaser’s account. The Purchaser shall immediately notify CompuCycle of any unauthorized use of the account or any other security breach. 

3.3. CompuCycle reserves the right to suspend or terminate any account, refuse any bid, or cancel any transaction at its sole discretion, including but not limited to instances of suspected fraud, violation of these Terms, or failure to satisfy payment obligations. 

4. BIDDING AND PURCHASE RULES 

4.1. Auction Process 

CompuCycle publishes a comprehensive listing of available refurbished technology and equipment to registered buyers via email and/or on the Platform. The bidding period for a Lot shall remain open for a period of time specified in the publication, unless otherwise specified in the listing or modified by CompuCycle. To place a bid, the Purchaser must register a bid via the Platform. 

4.2. Binding Nature of Bids 

ALL BIDS SUBMITTED ARE FINAL, BINDING, AND IRREVOCABLE. Once a bid is submitted, the Purchaser may not cancel, withdraw, or reduce the bid amount. A bid constitutes an unconditional offer to purchase the Lot at the bid price, subject to these Terms and Conditions. By submitting a bid, the Purchaser acknowledges that a binding obligation to purchase arises upon acceptance of the Winning Bid by CompuCycle. 

4.3. Bid Acceptance and Rejection 

CompuCycle reserves the right, in its sole and absolute discretion, to: (a) accept or reject any bid; (b) withdraw any Lot from sale at any time prior to the close of the bidding period; (c) extend or shorten the bidding period; (d) re-offer or relist any Lot; and (e) resolve any disputes

concerning bids. CompuCycle’s determination of the Winning Bid shall be final and binding on all parties. Any bid shall be deemed accepted as the winning bid upon CompuCycle issuing a notification to the Purchaser at the e-mail address provided by such Purchaser. 

4.4. Independent Lots 

Unless explicitly stated otherwise in the bid submission or listing, each Lot constitutes an independent offer. Winning one Lot does not guarantee or require the Purchaser to win any other Lot, and the failure to win one Lot shall not relieve the Purchaser of the obligation to complete the purchase of any other Lot for which the Purchaser holds a Winning Bid. 

4.5. Reserve Prices and Minimum Bids 

CompuCycle may, at its discretion, set reserve prices or minimum bid amounts for any Lot. CompuCycle is not obligated to disclose whether a reserve price has been set. If no bid meets or exceeds the reserve price, CompuCycle may decline to sell the Lot. 

5. PAYMENT TERMS 

5.1. Payment Deadline 

Full payment for all auction wins must be initiated within one (1) business day of the issuance of the winning notification by CompuCycle. Purchaser must either deliver full payment to CompuCycle within one (1) business day, or deliver written evidence to CompuCycle within one (1) business day that the wire transfer has been initiated. If the Purchaser delivers the written evidence to CompuCycle within one (1) business day, but CompuCycle has not received full payment within three (3) business days after notification of the winning bid, CompuCycle may exercise the remedies set forth in Section 5.5 below. 

5.2. Accepted Payment Methods 

Payment must be made exclusively via wire transfer to the account designated by CompuCycle in the winning notification. The Purchaser shall bear all wire transfer fees, including intermediary bank charges. Per CompuCycle’s discretion, payment may be made by credit card, debit card, PayPal, or other methods. 

5.3. Currency 

All prices are quoted and payable in United States Dollars (USD) unless otherwise specified by CompuCycle in writing. 

5.4. Taxes 

All applicable sales taxes, value-added taxes, duties, tariffs, and other governmental charges are the sole responsibility of the Purchaser. If the Purchaser claims tax-exempt status, the Purchaser must provide a valid exemption certificate prior to the completion of the sale. CompuCycle shall collect and remit applicable taxes as required by law.

5.5. Default and Non-Payment 

If the Purchaser fails to remit full payment or deliver the written evidence within the prescribed timeframe in Section 5.1, CompuCycle may, at its sole discretion and without further notice: (a) declare the Purchaser in default; (b) cancel the sale and award the Lot to the next highest bidder or relist the item; (c) suspend or permanently revoke the Purchaser’s account privileges; (d) pursue all available legal remedies, including recovery of the difference between the Winning Bid and the resale price, plus all costs of collection, including reasonable attorney’s fees; and (e) report the default to applicable credit reporting agencies. 

6. SHIPPING, DELIVERY, AND RISK OF LOSS 

6.1. Shipping Responsibility 

The Purchaser is responsible for all shipping, handling, freight, insurance, and any other costs associated with the transportation of purchased Lots. CompuCycle shall not be liable for any loss, damage, or delay occurring during transit. 

6.2. Transfer of Title and Risk 

Title to and risk of loss for all purchased Lots shall pass to the Purchaser upon delivery of the goods to the first carrier at CompuCycle’s facility (FOB Origin, Houston, Texas). From the point of delivery to the carrier, the Purchaser assumes all risk of loss, damage, or destruction of the goods. 

6.3. Logistics Coordination 

Following confirmation of payment, the Purchaser must coordinate pickup or shipping logistics with CompuCycle within one (1) business day and must collect the item(s) within ten (10) business days. If the Purchaser fails to arrange pickup or shipping within this timeframe, CompuCycle may charge storage fees, and/or issue a refund (less re-stocking fees) and re-post the items or sell them to the next highest bidder. 

6.4. Insurance 

Purchaser should obtain shipping insurance for all purchased Lots, as CompuCycle shall have no liability or responsibility for any Lot after delivery to the first carrier at CompuCycle’s facility. CompuCycle shall not be responsible for filing or managing any shipping insurance claims on behalf of the Purchaser. 

7. CONDITION OF GOODS, GRADING, AND WARRANTY 

7.1. Condition and Grading Standards 

All items are sold based on the Functional and Cosmetic Grading Standards specified in the listing. As an R2 and eStewards certified refurbisher, CompuCycle represents that all refurbished devices have been tested and meet the quality and performance standards.

described in the applicable listing. The Purchaser acknowledges that refurbished goods may exhibit minor cosmetic imperfections consistent with the stated grade. 

7.2. Limited Warranty 

Unless otherwise specified, standard electronics sales include a thirty (30) day limited warranty covering repair or replacement of defective units. The warranty period begins on the date of delivery to the Purchaser. This warranty covers defects in materials and workmanship under normal use and does not cover damage caused by misuse, accident, unauthorized modification, or failure to follow product instructions. 

7.3. As-Is Items 

"SCRAP," "COMMODITY," OR "AS-IS" LOTS ARE SOLD AS-IS, WHERE-IS, WITH ALL FAULTS, AND WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE PURCHASER ASSUMES ALL RISK AS TO THE QUALITY, CONDITION, AND PERFORMANCE OF SUCH ITEMS. 

7.4. Warranty Exclusions 

The limited warranty does not apply to: 

  • Items designated as "Scrap," "Commodity," or "As-Is" in the listing; 
  • Software, licenses, or digital media of any kind; 
  • Damage resulting from misuse, neglect, accident, unauthorized repair, or modification; 
  • Damage caused by power surges, lightning, flooding, or other external causes; 
  • Normal wear and tear, including battery degradation; and 
  • Items for which the Purchaser has failed to follow CompuCycle’s RMA procedures. 

8. RETURNS AND RETURN MERCHANDISE AUTHORIZATION (RMA) 

8.1. RMA Requirement 

No returns shall be accepted without a valid Return Merchandise Authorization (RMA) number issued by CompuCycle. The RMA number must be clearly and legibly marked on the outside of the return shipping package. Returns received without a visible RMA number will be refused and returned to the sender at the sender’s expense. 

8.2. Return Window 

All requests for return must be submitted to CompuCycle within thirty (30) calendar days of the original ship date. If CompuCycle accepts a request for return, CompuCycle will issue an RMA number. RMA numbers are valid for thirty (30) calendar days from the date of issuance. Returns received after the expiration of the RMA number will not be accepted.

8.3. Condition of Returns 

Returned items must be in their original packaging (where applicable), include all accessories and documentation, and be in substantially the same condition as when received. CompuCycle reserves the right to reject any return that does not meet these requirements or to assess additional fees for items returned in damaged or incomplete condition. 

8.4. Restocking Fee 

Non-defective returns (i.e., returns for reasons other than defect or non-conformity with the listing description) may be subject to a restocking fee of twenty percent (20%) of the original purchase price. 

8.5. Refund Processing 

Approved refunds will be processed within fifteen (15) business days of CompuCycle’s receipt and inspection of the returned item. Refunds will be issued via the original payment method where possible, less any applicable restocking fees and return shipping costs. 

9. DATA SECURITY AND ENVIRONMENTAL COMPLIANCE 

9.1. Data Sanitization 

CompuCycle is an e-Stewards and ISO certified recycler (including ISO 9001, ISO 14001, ISO 45001, and ISO/IEC 27001). All data-bearing devices offered for sale have been sanitized or destroyed in accordance with the National Institute of Standards and Technology Special Publication 800-88 (NIST SP 800-88) guidelines prior to listing. CompuCycle provides certificates of data destruction upon request. 

9.2. Purchaser Compliance Obligations 

The Purchaser agrees to use all purchased equipment and materials in full compliance with all applicable federal, state, local, and international laws, regulations, and ordinances, including but not limited to environmental protection laws, data privacy and security regulations, export control laws, and the Resource Conservation and Recovery Act (RCRA). 

9.3. Prohibited Uses 

The Purchaser shall not: (a) export or re-export any purchased goods in violation of United States export control laws or the laws of any other applicable jurisdiction; (b) dispose of any electronic waste in a manner that violates applicable environmental laws; or (c) use purchased goods for any unlawful purpose. 

10. INTELLECTUAL PROPERTY 

10.1. The sale of any item does not transfer any intellectual property rights, software licenses, trademarks, trade names, or proprietary rights of any third party to the Purchaser, except as may be explicitly stated in the listing or accompanying documentation.

10.2. The Purchaser acknowledges that certain products may contain proprietary software or firmware subject to the terms of separate end-user license agreements. The Purchaser agrees to comply with all such license terms. 

11. LIMITATION OF LIABILITY 

11.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPUCYCLE’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, SHALL NOT EXCEED THE TOTAL PURCHASE PRICE PAID BY THE PURCHASER FOR THE SPECIFIC LOT GIVING RISE TO THE CLAIM. 

11.2. IN NO EVENT SHALL COMPUCYCLE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF COMPUCYCLE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 

11.3. CompuCycle shall not be liable for any errors, inaccuracies, or omissions in product descriptions, photographs, or specifications on the Platform, except to the extent that the listing materially misrepresents the Functional and Cosmetic Grading Standard of the Lot. 

12. INDEMNIFICATION 

The Purchaser agrees to indemnify, defend, and hold harmless CompuCycle, its officers, directors, employees, agents, successors, and assigns from and against any and all claims, actions, liabilities, losses, damages, judgments, costs, and expenses (including reasonable attorney’s fees) arising out of or related to: (a) the Purchaser’s breach of this Agreement; (b) the Purchaser’s use, resale, or disposition of purchased goods; (c) any violation of applicable law by the Purchaser; or (d) any claim by a third party arising from the Purchaser’s acts or omissions. 

13. DISPUTE RESOLUTION 

13.1. Governing Law 

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. 

13.2. Mandatory Arbitration 

Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or validity thereof, shall be finally resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules then in effect. The arbitration shall be conducted in Houston, Harris County, Texas, before a single arbitrator. 13.3. Waiver of Class Action 

THE PURCHASER AND COMPUCYCLE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. 

13.4. Attorney’s Fees 

In the event of any legal action or arbitration arising under this Agreement, the prevailing party shall be entitled to recover its reasonable attorney’s fees, costs, and expenses from the non-prevailing party. 

14. PRIVACY POLICY 

14.1. CompuCycle collects, uses, and protects personal information in accordance with its Privacy Policy, which is incorporated into this Agreement by reference and available at compucycle.com/privacy-policy. By using the Platform, the Purchaser consents to the collection and use of information as described in the Privacy Policy. 

14.2. CompuCycle is committed to protecting the security of personal data through its ISO/IEC 27001 certified Information Security Management System, which includes strict controls for data handling, access-controlled facilities, and GPS-monitored transport vehicles with cab surveillance. 

15. FORCE MAJEURE 

Neither party shall be liable for any failure or delay in the performance of its obligations under this Agreement (other than payment obligations and collection of items under Section 6.3) to the extent such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, terrorism, civil unrest, government actions or orders, labor disputes, supply chain disruptions, fire, flood, or interruptions in telecommunications or internet services. The affected party must promptly notify the other party of the force majeure event and use commercially reasonable efforts to mitigate its effects. 

16. GENERAL PROVISIONS 

16.1. Entire Agreement 

This Agreement, together with the Privacy Policy, Warranty Policy, and any purchase order or invoice issued by CompuCycle, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, warranties, commitments, offers, and agreements, whether oral or written. 

16.2. Severability 

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to CompuCycle, Inc. — Terms and Conditions of Sale | 9 

make it enforceable, or if modification is not possible, severed from this Agreement. The remaining provisions shall continue in full force and effect. 

16.3. Waiver 

The failure of either party to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. Any waiver of any provision of this Agreement shall be effective only if in writing and signed by the waiving party. 

16.4. Assignment 

The Purchaser may not assign or transfer this Agreement or any rights or obligations hereunder without the prior written consent of CompuCycle. CompuCycle may freely assign this Agreement. Any attempted assignment in violation of this Section shall be null and void. 

16.5. Notices 

All notices under this Agreement shall be in writing and shall be deemed duly given when delivered personally, sent by certified mail (return receipt requested), or sent by nationally recognized overnight courier to the addresses on file with CompuCycle, or by email to the email address associated with the Purchaser’s account. 

16.6. Relationship of Parties 

Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, or employment relationship between CompuCycle and the Purchaser. 

16.7. Survival 

The provisions of Sections 5 (Payment Terms), 7.4 (As-Is Items), 11 (Limitation of Liability), 12 (Indemnification), 13 (Dispute Resolution), and 14 (Privacy Policy) shall survive the expiration or termination of this Agreement. 

16.8. Headings 

The section headings used in this Agreement are for convenience of reference only and shall not affect the interpretation or construction of this Agreement.
